Terms of Service
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant", "you" or "your") and DigetPay ("Company", "we", "us" or "our"), a company registered in the Kingdom of Saudi Arabia with its principal office in Al Muruj District, Riyadh, Kingdom of Saudi Arabia. By accessing or using any DigetPay services, platforms, applications, or websites, you acknowledge that you have read, understood, and agree to be bound by these Terms in full. If you do not agree to any provision of these Terms, you must immediately stop using all our Services.
1. Acceptance of Terms
By registering for an account, accessing our platform, or using any of our Services, you represent and warrant that you have the legal authority to enter into these Terms on your behalf or on behalf of the entity you represent. Your continued use of our Services after any changes to these Terms are posted constitutes your acceptance of those changes. DigetPay reserves the right to refuse service to anyone for any reason at any time.
2. Description of Services
DigetPay provides payment processing solutions including, but not limited to, point-of-sale systems, SoftPOS technology, payment gateway services, merchant dashboards, analytics tools, and related financial technology services. The specific features, functionality, and availability of our Services may vary by region, plan, and merchant category. DigetPay reserves the right to modify, suspend, or discontinue any aspect of its Services at any time, with or without notice, and without any liability to you.
3. Merchant Account and Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate, current, and complete information during registration and keep your account information updated at all times. You agree to immediately notify DigetPay of any unauthorized use of your account. You may not use the Services for any illegal purpose, fraudulent activity, or in violation of any applicable laws and regulations of the Kingdom of Saudi Arabia or any other jurisdiction in which you operate. DigetPay shall not be liable for any loss or damage arising from your failure to comply with these obligations.
4. Payment Processing Terms
DigetPay acts as a payment facilitator and processor. We do not guarantee the completion of any transaction and are not responsible for the goods or services sold by merchants. Settlement of funds is subject to successful transaction processing, verification of compliance, risk assessment, and any applicable hold periods. DigetPay reserves the right to hold, delay, or withhold funds in the event of suspected fraud, chargebacks, regulatory concerns, or violation of these Terms. Processing times may vary, and DigetPay makes no warranties regarding settlement timelines other than its commercially reasonable efforts.
5. Fees and Charges
You agree to pay all fees and charges associated with your use of DigetPay's Services as set forth in your Merchant Agreement or pricing schedule. DigetPay reserves the right to modify its fee structure at any time upon thirty (30) days' notice. Continued use of the Services after such notice constitutes acceptance of the modified fees. All fees are non-refundable unless otherwise specified in writing by DigetPay. DigetPay may deduct fees, chargebacks, refunds, fines, and any other amounts due directly from your settlement funds or charge them to your designated payment method.
6. Intellectual Property
All intellectual property rights in and relating to the DigetPay platform, including but not limited to software, designs, trademarks, logos, documentation, APIs, and proprietary technology, are and shall remain the exclusive property of DigetPay. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your internal business purposes in accordance with these Terms. You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works based on any part of DigetPay's intellectual property without DigetPay's prior written consent.
7. Limitation of Liability
To the fullest extent permitted by applicable law, DigetPay and its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, goodwill, data, business opportunities, or other intangible losses, arising out of or in connection with your use or inability to use the Services, regardless of the theory of liability. DigetPay's total aggregate liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the total amount of fees actually paid by you to DigetPay during the three (3) months immediately preceding the event giving rise to the claim.
8. Indemnification
You agree to indemnify, defend, and hold harmless DigetPay and its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or relating to: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of any applicable law, regulation, or third-party right; (d) any dispute between you and your customers; (e) any fraudulent, negligent, or wrongful act or omission by you or your employees; or (f) any taxes, penalties, or regulatory fines related to your business operations.
9. Termination
DigetPay reserves the right to suspend or terminate your account and access to the Services at any time, for any reason or no reason, with or without notice, and without any liability to you. Reasons for termination may include, but are not limited to, suspected fraud, excessive chargebacks, violation of these Terms, regulatory requirements, or business decisions at DigetPay's sole discretion. Upon termination, all rights granted to you under these Terms immediately cease. DigetPay may retain and use your data in accordance with applicable law and our Privacy Policy. You may terminate your account at any time by providing written notice; however, you remain liable for all fees, chargebacks, and obligations incurred prior to termination.
10. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good faith negotiations between the parties. If the dispute is not resolved through negotiations within thirty (30) days, it shall be referred to and finally resolved by arbitration in accordance with the applicable arbitration rules of the Kingdom of Saudi Arabia. The seat of arbitration shall be Riyadh, Kingdom of Saudi Arabia. The language of arbitration shall be Arabic, with English translations provided upon request. The arbitrator's decision shall be final and binding on both parties.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of laws principles. You irrevocably submit to the exclusive jurisdiction of the courts of Riyadh, Kingdom of Saudi Arabia for any legal proceedings arising out of or relating to these Terms, except where arbitration is mandatory as provided in this document.
12. Force Majeure
DigetPay shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, epidemics, wars, terrorism, civil unrest, government actions, sanctions, embargoes, power outages, internet or telecommunications failures, cyberattacks, or any other force majeure event. During such events, DigetPay's obligations are suspended for the duration of the force majeure event.
13. Data and Privacy
Your use of the Services is also subject to our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection, processing, storage, and use of your data as described in our Privacy Policy. You acknowledge that DigetPay may share your information with card networks, financial institutions, regulatory authorities, and third-party service providers as necessary to provide the Services and comply with applicable laws.
14. Amendments
DigetPay reserves the right to modify, change, or update these Terms at any time at its sole discretion. Changes become effective upon posting the amended Terms on our website or notifying you through the platform. It is your responsibility to review the Terms periodically. Your continued use of the Services after any amendments constitutes your binding acceptance of the amended Terms. If you do not agree to any amended Terms, your sole remedy is to stop using the Services.
15. Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, any Merchant Agreement, and any other policies or guidelines referenced herein, constitute the entire agreement between you and DigetPay regarding the subject matter hereof and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and DigetPay. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.
16. Severability and Waiver
If any provision of these Terms is determined to be illegal, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of that provision or any other provision, and DigetPay's failure to assert any right or provision under these Terms shall not constitute a waiver of that right or provision.
